HeadBox Fair Use Policy 14.03.24

 

This Fair Use Policy applies to all users of the HeadBox platform available at 

www.headbox.com (the “Platform”), including all persons accessing the Platform as or on behalf of a Host or Guest. This Fair Use Policy applies in addition to any policy or other requirements set out in any HeadBox terms and conditions.

Whether you are a “Host” or a “Guest” is set out in the terms and conditions of your agreement with HeadBox.

 

A. User communications and content

All users of the Platform must ensure that all communications or content submitted on or through the Platform and all interactions with persons in connection with an introduction made through the Platform:

1. are made in good faith and are legal, truthful respectful and accurate;
2. are in good taste and do not contain any language that is or could reasonably be considered to be threatening, discriminatory, defamatory or offensive to any individual or group or be likely to upset, embarrass or alarm any person;
3. do not contain any swear words or include any content that could be considered obscene, vulgar, offensive, pornographic, profane, sexually explicit or indecent, taking into account the likely recipient;
4. do not contain any content that could reasonably be expected to cause annoyance, embarrassment or distress to any person;
5. are not political, religious, fake news, or unethical;
6. are not misleading and comply with all applicable laws and standards (including, without limitation, in respect of marketing and advertising such as the CAP advertising codes in the UK);
7. do not contain any information which personally identifies another individual (unless such individual has given their prior consent in writing) any otherwise comply with any applicable data protection laws; 
8. do not constitute or encourage conduct that would be a criminal offence, give rise to civil liability or otherwise violate any law;
9. do not prejudice pending or on-going criminal or civil court proceedings;
10. do not violate, plagiarise or infringe the rights of third parties including any copyright, trademark, patent, rights of publicity or any other proprietary right.
11. do not breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
12. constitute or contain false or misleading indications of origin or statements of fact; and      
13. be used to impersonate any person, or to misrepresent your identity or affiliation with any person.

HeadBox does not modify any content or submissions and expressly disclaims all liability for all user content and submissions. Where any person makes a complaint in respect of any user content or communication, the relevant user must immediately (and at their own cost) take down such content or make appropriate changes thereto.

 

B. HeadBox Platform and services

Users of the Platform must not at any time:

1. use the Platform or any services provided by HeadBox to store, transmit or make available any content that is infringing, libellous, unlawful, tortious, or in violation of the rights of any third party; 
2. use the Platform to send unsolicited marketing communications or spam;
3. seek to upload any (i) content that harms, interferes with, or limits the normal operation of the Platform or any HeadBox services; or (ii) viruses, malware, or other malicious code;
4. use the Platform or any HeadBox services for illegal, threatening, or offensive uses, or for similarly objectionable purposes, such as propagating hate or violence or causing harm;
5. attempt to gain unauthorised access to the Platform or any offerings of HeadBox or any related systems, including those of HeadBox’s licensors or other HeadBox users;
6. copy, disassemble, reverse engineer, decompile, decrypt or attempt to derive the source code of any software used in the provision of the Platform or any HeadBox services;
7. to copy any part of the Platform or any HeadBox services or any part, feature, function or user interface thereof; 
8. transfer, use, rent, lease, lend, sell, sublicense, assign, distribute, publish, pledge, or export the Platform or any other software used in the provision of HeadBox services;
9. build similar or competitive products or services to the Platform or other HeadBox services;
10. use the Platform other than for the purposes of booking events;
11. remove, modify, minimise or hide any watermark, copyright or other mark or notice;
12. circumvent, modify or hide any links generated through the use of the HeadBox services; and
13. share any login to access the Platform or HeadBox services (and any login shall be limited to use by a single named person). All log-in details are confidential and HeadBox reserves the right to disable any user or password, where HeadBox has grounds to suspect that log-in credentials have been compromised or shared.

HeadBox (or its third party licensors) remain the owners of the Platform and all software used in the provision of HeadBox services. Users have no rights in, or to, any software other than the limited right to use the Platform in accordance with this Fair Use Policy and terms and conditions entered into between HeadBox and the User.

 

C. Any user that is a Host shall:

1. respond promptly to any Guest enquiry they consider suitable for the venue; and
2. not add contacts introduced through the Platform to any marketing list or otherwise send unsolicited communications to Guests or other users of the Platform.

 

D. Any user that is a Guest shall:

1. submit only genuine enquiries through the Platform; and
2. not use the Platform to send unsolicited marketing or spam.

 

Any links provided on or through the Platform to other websites and resources provided by third parties, these links are provided for information only. HeadBox has no control (and disclaims all liability) for the contents of those websites or resources and HeadBox does not give any approval in respect of such linked websites or information obtain from them.

 This Fair Use Policy may be updated by HeadBox from time to time. Please check the website regularly for the most recent version. Any violation of this Fair Use Policy may result in the suspension or termination of access to and use of the Platform and HeadBox services.
